Effective upon Affiliate enrollment. Applies only to enrolled Affiliates of The ArthIQ Daily Affiliate Program.

This Affiliate Agreement ("Agreement") governs your participation as an Affiliate of The ArthIQ Daily, operated by ArthIQ, Inc. ("ArthIQ", "we", "us", or "our"). By completing Affiliate enrollment — whether by accepting an invitation upon crossing the Subscription Credit threshold or through direct enrollment as a vetted creator — you agree to be bound by this Agreement.

This Agreement incorporates the Terms of Service, Privacy Policy, and Important Disclosures by reference. Where this Agreement conflicts with the Terms of Service, this Agreement controls with respect to your Affiliate participation.

1. Definitions

  • "Affiliate" — You, upon completion of Affiliate enrollment under this Agreement.
  • "Affiliate Link" — A unique URL or code provided by ArthIQ that attributes a Referee to you for purposes of Commission accrual.
  • "Referee" — A person who signs up for The ArthIQ Daily via your Affiliate Link.
  • "Qualifying Referral" — A Referee who completes account activation (defined as account creation followed by a sustained qualified financial-account connection for the minimum period stated in your enrollment confirmation and Affiliate dashboard, currently thirty (30) days) and makes a first paid subscription payment within the attribution window.
  • "Commission" — Cash payment owed to you for Qualifying Referrals.
  • "Commission Window" — The period during which a Referee's subscription payments accrue Commission to you, beginning at the Referee's first paid subscription payment.
  • "Payout" — The transfer of accrued Commission to you through our payout provider.
  • "Stripe Connect" — Our payout provider for Affiliate compensation, including identity verification, tax form collection, payout processing, and 1099 e-filing.

2. Enrollment and Eligibility

  • 2.1 Enrollment Paths. You may enroll as an Affiliate by: (a) accumulating Subscription Credit equal to or exceeding the enrollment threshold published in your Affiliate dashboard (at the date of this Agreement, US$1,000; subject to amendment per Section 12.2) and accepting the Affiliate Program invitation; or (b) direct enrollment by ArthIQ as a vetted creator, partner, or organization.
  • 2.2 Eligibility Representations. You represent and warrant that: (i) you are at least eighteen (18) years of age (or the higher age required by your jurisdiction); (ii) you are legally authorized to enter into this Agreement and to receive compensation in your jurisdiction; (iii) you are not a person, entity, or in a jurisdiction subject to U.S. sanctions, export-control restrictions, or other applicable prohibitions; (iv) you have completed identity verification and tax form collection through Stripe Connect (W-9 for U.S. persons; W-8-BEN or equivalent for non-U.S. persons). You further acknowledge that the Service is contractually restricted under these Terms to U.S. residents and U.S. persons, and you agree to direct your promotional efforts toward audiences reasonably believed to be eligible for the Service. You will not earn Commission for Referees whose accounts are voided, blocked, or terminated due to geo-eligibility violations or other Service-eligibility failures.
  • 2.3 Independent Contractor. You are an independent contractor of ArthIQ, not an employee, agent, partner, or joint venturer. No employment relationship is created by this Agreement. You are solely responsible for your own taxes, business expenses, insurance, and compliance with applicable laws in your jurisdiction.
  • 2.4 No Investment Advisory Relationship. This Agreement does not establish any investment-advisory, fiduciary, broker-dealer, or licensed-professional relationship between you and ArthIQ, or between you and any Referee or user. You are a promoter of an educational software product. You do not provide and may not represent that you provide investment, tax, legal, insurance, or other licensed-professional advice on behalf of ArthIQ.

3. Compensation

  • 3.1 Commission Rate and Window. Your Commission rate and Commission Window are specified in your enrollment confirmation. These terms in effect at the time of enrollment are locked to your Affiliate relationship ("grandfathering"); future changes to default rates do not retroactively change your existing terms.
  • 3.2 Attribution. Commission is attributed on a last-click basis within the attribution window stated in your Affiliate dashboard (at the date of this Agreement, thirty (30) days). A Referee is attributed to the most recent Affiliate Link clicked within the attribution window prior to subscription signup.
  • 3.3 Conversion of Existing Subscription Credit at Enrollment. If you enroll via the Subscription Credit threshold path, your accumulated Subscription Credit may be either: (a) retained as Subscription Credit and applied to your own subscription invoices; or (b) converted to cash at enrollment. The conversion of Subscription Credit to cash is a regulated transition for tax, contractor-status, and accounting purposes. Conversion is gated on completion of W-9 (or W-8-BEN) collection and Stripe Connect onboarding. Once converted, Subscription Credit becomes Affiliate Commission and is subject to the payout, hold, clawback, and tax provisions of this Agreement.
  • 3.4 Payout Cadence and Minimum. Payouts occur monthly, subject to: (i) a hold period of thirty (30) days from the underlying Referee subscription payment, to allow for chargeback and refund resolution; and (ii) a minimum payout threshold per cycle as stated in your Affiliate dashboard (at the date of this Agreement, US$100). Amounts below the threshold roll forward to subsequent cycles.
  • 3.5 Currency. Payouts are made in your preferred payout currency where supported by Stripe Connect, with minimum thresholds applied in your local currency subject to USD-equivalent floors.
  • 3.6 Clawback for Refunds and Chargebacks. If a Referee successfully obtains a refund or initiates a chargeback for a subscription payment that generated Commission to you, the corresponding Commission is reversed automatically and offset against your next payout. Where the clawback exceeds your next payout balance, the offset continues against subsequent payouts.
  • 3.7 No Clawback for Voluntary Cancellation. Voluntary cancellation by a Referee does not reverse Commission already earned for completed payment periods. Future Commission stops accruing because future Referee payments stop.
  • 3.8 Inactive Affiliate Pause. Your Affiliate payout eligibility may be paused automatically after a dormancy period stated in your Affiliate dashboard (at the date of this Agreement, six (6) months of no Qualifying Referral activity), to manage platform costs and account hygiene. Your eligibility reactivates on the next Qualifying Referral conversion. ArthIQ does not control your Stripe Connect account directly; the pause described here applies to your Affiliate payout status with ArthIQ, not to Stripe Connect itself.

4. Tax Treatment

  • 4.1 1099 Reporting (U.S. Affiliates). Commission payments to U.S. Affiliates are reported on IRS Form 1099-NEC at the then-current threshold (currently US$2,000 for payments in calendar year 2026 and onward under the One Big Beautiful Bill Act, subject to annual inflation indexing from 2027). Stripe Connect handles e-filing.
  • 4.2 International Tax (Non-U.S. Affiliates). Commission payments to non-U.S. Affiliates may be subject to U.S. withholding and reporting depending on the Affiliate's tax status, documentation (such as a valid W-8-BEN or equivalent), source-of-income rules (which generally look at where services are performed), and applicable law and treaties. Stripe Connect handles applicable tax form collection and international reporting; the Affiliate is responsible for providing accurate and current tax documentation.
  • 4.3 Your Tax Obligations. You are solely responsible for reporting Commission income on your personal or business tax returns, paying applicable federal, state, local, and international taxes, and obtaining any required business licenses, permits, or registrations in your jurisdiction.

5. Promotional Standards

  • 5.1 FTC Disclosure Compliance. You must disclose your affiliate relationship with The ArthIQ Daily clearly and conspicuously in all promotional content, in accordance with the Federal Trade Commission's Endorsement Guides. Disclosure must:
  • appear in the same medium as the endorsement (in-video for video content, in-caption or in-image for image posts, in-text for written content);
  • be hard to miss — not buried in descriptions, comment threads, hashtag clouds, or off-screen overlays;
  • use plain language understandable to your audience;
  • not be limited to platform-tooling disclosures alone (such as the "Includes paid promotion" badge on certain platforms) — your own disclosure must be present in addition.

ArthIQ provides Affiliate disclosure templates and channel-specific guidance. Use of these templates does not relieve you of your independent obligation to comply with applicable law.

  • 5.2 Anti-Advice Promotional Standards. You may not, in any promotional content:
  • represent The ArthIQ Daily as providing financial, investment, tax, legal, insurance, estate-planning, accounting, or other licensed-professional advice;
  • guarantee or imply specific investment returns, savings outcomes, tax savings, or other financial results;
  • state or imply that The ArthIQ Daily makes specific buy, sell, or hold recommendations;
  • impersonate ArthIQ employees, advisers, fictional staff, or any third party;
  • use fake testimonials, fake reviews, undisclosed paid endorsement, or testimonials from individuals who have not used the Service;
  • misrepresent the Service's eligibility (currently U.S. residents/persons only), pricing, features, or terms;
  • use ArthIQ logos, screenshots, or other intellectual property in a manner inconsistent with the brand guidelines provided;
  • promote your Affiliate Link via unsolicited commercial email (spam), SMS text-message blasting, ringless voicemail, automated telephone dialing systems, robocalls, purchased email lists, or any other method that violates the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), or equivalent anti-spam, anti-robocall, or marketing-consent legislation in any jurisdiction where you operate. Violation of this prohibition is a material breach and constitutes a "for cause" termination trigger under Section 9.3.
  • 5.3 Brand Use License. ArthIQ grants you a limited, non-exclusive, non-transferable, revocable license to use the ArthIQ name, logo, and provided promotional materials solely to promote The ArthIQ Daily during the term of this Agreement. This license terminates immediately on termination of this Agreement.
  • 5.4 Content Monitoring and Compliance Program. ArthIQ operates an Affiliate compliance program consistent with FTC expectations for advertiser networks. ArthIQ will: (i) provide enrolled Affiliates with channel-specific disclosure training and templates at onboarding and on a periodic basis; (ii) periodically monitor active Affiliate promotional content for compliance with this Agreement, applicable law, and the FTC Endorsement Guides; (iii) request modifications, removals, or remediation of content that violates this Agreement; and (iv) escalate non-remediated violations through the tiered consequences set out in Section 6.2. Affiliates agree to cooperate with monitoring requests and remediation timelines.

6. Audit and Compliance

  • 6.1 Records. ArthIQ may audit your Affiliate activity, Commission accrual, and promotional content. You agree to provide reasonable cooperation with audits.
  • 6.2 Tiered Consequences for Noncompliance. Violations of this Agreement may result in tiered consequences: (i) Warning — first violation, formal warning with required remediation; (ii) Suspension — repeated or serious violations, temporary suspension of Affiliate status with no Commission accrual during suspension; (iii) Termination — material breach, fraud, undisclosed compensation, or failure to remediate after warning.
  • 6.3 Fraud and Bad-Actor Screening. ArthIQ may decline enrollment, suspend, or terminate any Affiliate based on regulatory history, prior FTC actions, sanctions screening, identity verification failures, or evidence of fraud. Decisions are subject to the appeals process in Section 11.

7. Confidentiality

You may receive non-public information about ArthIQ in connection with your Affiliate participation, including unpublished commission rates, conversion data, attribution data, and product roadmap. You agree to keep such information confidential and use it solely to perform your obligations under this Agreement. This obligation survives termination of this Agreement for two (2) years.

8. Intellectual Property

ArthIQ retains all rights to The ArthIQ Daily, the Service, the ArthIQ brand, and all promotional materials. Nothing in this Agreement transfers any ownership rights to you. Feedback, suggestions, and feature requests you provide are governed by the assignment provisions in the Terms of Service.

9. Term and Termination

  • 9.1 Term. This Agreement is effective upon your enrollment and continues until terminated under this Section.
  • 9.2 Termination for Convenience. Either party may terminate this Agreement at any time, for any reason, upon thirty (30) days' written notice (which may be by email). Upon termination for convenience, accrued Commission for previously-paid Referee subscription payments continues to be payable subject to the standard payout cadence, hold, and clawback rules.
  • 9.3 Termination for Cause. ArthIQ may terminate this Agreement immediately for: (a) material breach of this Agreement, the Terms of Service, the Privacy Policy, the Important Disclosures, or applicable law; (b) failure to maintain accurate tax forms or Stripe Connect status; (c) fraud or misrepresentation; (d) any disclosed or discovered status as a sanctioned or restricted party; or (e) undisclosed paid endorsement, fake testimonials, or material Endorsement Guide violations.
  • 9.4 Effect of Termination. Upon termination for any reason: (a) your access to the Affiliate Program ends; (b) accrued Commission for Qualifying Referrals made prior to termination remains payable subject to clawback, hold, and minimum-threshold rules — except in the case of termination for cause involving fraud, in which case unpaid Commission may be forfeited; (c) your license to use ArthIQ intellectual property ends; (d) you must update or remove active promotional content as reasonable to reflect the termination; (e) Sections relating to indemnification, confidentiality, intellectual property, disclaimers, limitation of liability, and dispute resolution survive.

10. Disclaimers and Limitation of Liability

  • 10.1 Disclaimers. Except as expressly stated in this Agreement, ArthIQ makes no representations or warranties regarding Commission earning potential, Referee conversion rates, Affiliate Link uptime, attribution accuracy, or any other aspect of the Affiliate Program. The Affiliate Program is provided on an "as is" and "as available" basis.
  • 10.2 Limitation of Liability. ArthIQ's total cumulative liability under this Agreement for all claims is limited to the greater of: (a) the total Commission paid to you in the twelve (12) months preceding the event giving rise to liability; or (b) US$500. The disclaimers and liability limitations in the Terms of Service apply additionally and are not waived or modified by this Agreement.
  • 10.3 Indemnification by Affiliate. You agree to indemnify, defend, and hold harmless ArthIQ and the Released Parties (as defined in the Terms of Service) from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your breach of this Agreement; (b) your violation of applicable law, including the FTC Endorsement Guides; (c) any promotional content you create or distribute; (d) your tax filings and obligations; (e) any representation you make about The ArthIQ Daily that is inconsistent with this Agreement; (f) any third-party claim related to your status as an independent contractor.

11. Dispute Resolution and Appeals

  • 11.1 Disputes with ArthIQ. Disputes arising under this Agreement are governed by the Dispute Resolution provisions of the Terms of Service, including binding arbitration, class-action waiver, and Delaware governing law (Section 13 of the Terms of Service).
  • 11.2 Appeals Process for Suspension or Termination. If ArthIQ suspends or terminates your Affiliate status, you may appeal by emailing legal@thearthiqdaily.com within thirty (30) days of the suspension or termination notice. We will provide a written response within thirty (30) days of receiving the appeal.

12. General Provisions

  • 12.1 Stripe Connect Platform Terms. Your participation in the Affiliate Program is also subject to the Stripe Connect platform terms passed through to you at enrollment. You must maintain a Stripe Connect account in good standing as a condition of receiving Commission payments.
  • 12.2 Modifications. ArthIQ may modify this Agreement with thirty (30) days' notice. Modifications apply prospectively to new Qualifying Referrals; existing Qualifying Referrals retain their original Commission terms ("grandfathering"). If you do not accept the modifications, you may terminate this Agreement during the notice period.
  • 12.3 Assignment. You may not assign this Agreement without ArthIQ's prior written consent. ArthIQ may assign this Agreement in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
  • 12.4 Severability. If any provision of this Agreement is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
  • 12.5 Governing Law. This Agreement is governed by the laws of the State of Delaware, without regard to conflict-of-law principles. International Affiliates participate subject to applicable local laws to the extent not waivable.
  • 12.6 Entire Agreement. This Agreement, together with the Terms of Service, Privacy Policy, and Important Disclosures, constitutes the entire agreement between you and ArthIQ regarding the Affiliate Program.
  • 12.7 No Waiver. ArthIQ's failure to enforce any provision is not a waiver of the right to do so later.
