Welcome to The ArthIQ Daily. By checking the consent box during registration and using our application, website, and related services (collectively, the "Service"), you agree to be strictly bound by these Terms of Service ("Terms"). We reserve the right to modify these Terms with fifteen (15) days advance notice, and to modify subscription pricing with thirty (30) days advance notice, provided via email. Material changes to the Referral Program, Affiliate Program, or Complimentary Grant terms are subject to the modification rules in their respective sections (Sections 5, 6, and 7 below).

1. Acceptance, Sanctions, Export Controls, and Availability

The Service is restricted to individuals who are at least eighteen (18) years of age and are U.S. residents or U.S. persons. By using the Service, you represent and warrant that: (a) you meet these eligibility requirements; (b) you are not located in a country subject to a U.S. Government embargo; and (c) you are not listed on any U.S. Government list of prohibited or restricted parties.

Furthermore, you are strictly prohibited from using the Service in violation of any applicable sanctions, export-control, or anti-money laundering (AML) laws. You may not input or connect account data involving sanctioned persons, jurisdictions, blocked property, or prohibited activities. We reserve the right to restrict, suspend, terminate, block account connections, or decline processing for any account that violates these restrictions.

Note on Affiliate Program eligibility: The Service is restricted to U.S. residents and U.S. persons. The Affiliate Program (Section 7 and the standalone Affiliate Agreement) is open to qualifying participants both inside and outside the United States, subject to Stripe Connect availability and applicable sanctions and export-control laws. Affiliates are contractors, not users; this distinction is intentional.

2. Electronic Communications and Federal E-Sign Consent

By creating an account, you affirmatively consent under the federal E-SIGN Act to receive all communications, agreements, and required disclosures electronically.

  • Hardware/Software Requirements: You need a continuously updated web browser, an active email address, internet access, and the ability to download, save, and print or otherwise retain PDF, HTML, or email records. We will notify you if these requirements materially change.
  • Paper Copies: You have the right to receive paper copies of electronic records upon request at no fee by contacting us.
  • Withdrawal: You may withdraw consent by contacting legal@thearthiqdaily.com; however, because the Service is natively digital, withdrawing consent requires immediate account termination. Withdrawal of consent does not affect the legal validity or enforceability of prior electronic records.

3. Service Scope & Educational Limitations

The ArthIQ Daily is an educational and organizational tool. We do not provide financial, investment, legal, tax, or estate planning advice. Your use of the Service is subject to our Important Disclosures, which are expressly incorporated herein.

The Service's status as educational software (and not as an investment adviser or other licensed professional) is determined by the actual behavior of the Service, not by feature names or marketing language. We reserve the right to undertake fresh legal review before launching any feature that may cross into personalized investment, tax, or other professional advisory guidance.

4. Subscription, Billing, and Cancellation

  • Processing: Payments are processed via Stripe. Subscriptions auto-renew at the end of your billing cycle.
  • Cancellation and Automatic Renewal. Subscriptions auto-renew at the end of each billing cycle until cancelled. You may cancel at any time online through your account settings — no phone call, email exchange, or support ticket is required, consistent with simple-cancellation requirements under California's Automatic Renewal Law and similar state laws. Cancellations take effect at the end of the current paid entitlement period; you retain access through that period. All fees are non-refundable. Initiating a fraudulent chargeback will result in immediate account termination. Upon enrollment, you receive an acknowledgment of the recurring-charge terms (price, billing interval, automatic-renewal nature, cancellation mechanism) for your records. We provide advance notice before any subscription fee change applies to your account, and where applicable law requires, we provide periodic reminders of your active subscription. We commit to providing at least 60 days' advance notice and a data-export window in the event of a total Service shutdown.
  • Subscription Credit: Earned Subscription Credit from the Referral Program (Section 5) is applied automatically to your subscription invoices. Subscription Credit is non-refundable, non-transferable, and has no cash value (except as expressly permitted under the Affiliate Program in Section 7).
  • Complimentary Subscription Grants: Free subscription periods received as Complimentary Subscription Grants (Section 6) do not alter renewal or cancellation rules; standard subscription terms apply after the Grant period ends or upon conversion to paid status.

5. Referral Program Participation

The ArthIQ Daily offers a Referral Program through which existing subscribers may invite others to subscribe and earn Subscription Credit. Participation in the Referral Program is voluntary. ArthIQ may modify, suspend, or discontinue the Referral Program at any time with reasonable notice; modifications apply prospectively to new referral pairs only, and existing referrals retain their original terms ("grandfathering").

  • Definitions. A "Referrer" is an existing user of The ArthIQ Daily (on a free tier or any paid subscription tier) who shares a unique referral link or code. A "Referee" is a person who signs up via that referral link or code. A "Qualifying Referral" is a Referee who (a) completes account activation, defined as account creation followed by a sustained qualified financial-account connection for the minimum period stated in the offer terms (currently thirty (30) days), and (b) makes a first paid subscription payment within the attribution window. "Subscription Credit" is non-cash credit applied to a Referrer's future The ArthIQ Daily subscription invoices.
  • Earning Subscription Credit. Each Qualifying Referral generates Subscription Credit equal to a published percentage of the Referee's net subscription revenue during a defined commission window. "Net subscription revenue" means subscription fees actually received by ArthIQ for the Referee's account, less applicable taxes, refunds, chargebacks, applied credits, discounts, and pass-through payment-processor fees. The percentage and commission window in effect at the time a referral pair is created are locked to that pair. No Subscription Credit accrues for Referees who do not become paying subscribers. Subscription Credit accrual stops when the Referee cancels their subscription, but Subscription Credit already earned for completed payment periods is retained.
  • Expiration and Use. Subscription Credit expires after a period of no qualifying referral activity as stated in the offer terms and your account dashboard (currently one (1) year). Only qualifying referral events extend the window; incidental product use does not. Subscription Credit is applied automatically to the Referrer's next subscription invoice. Free-tier Referrers retain Subscription Credit until they upgrade to a paid plan. Subscription Credit is non-refundable, non-transferable, and has no cash value (except as expressly permitted in conversion under the Affiliate Program in Section 7).
  • Eligibility and Prohibited Conduct. The following are prohibited and will result in voided referrals and forfeited Subscription Credit: (i) self-referrals by any account, device, payment method, IP address, or household linkage; (ii) referrals between members of the same financial household (for example, individuals sharing identical billing addresses, identical IP profiles over time, or connected joint financial accounts); (iii) creation of multiple accounts to generate referrals; (iv) cash kickbacks, purchased signups, fake accounts, spam, or any compensation arrangement offered to third parties to use your referral link outside of bona fide personal sharing; (v) distribution of personal referral links to broad public audiences (mass media, public listings) — public distribution is reserved for the Affiliate Program; (vi) circumvention of attribution mechanisms, eligibility checks, or frequency controls. Employees, contractors, and immediate family members of ArthIQ, Inc. may participate as Referrers for Subscription Credit but are not eligible for the Affiliate Program unless approved separately by leadership and disclosed publicly.
  • Refunds, Cancellations, and Chargebacks. Voluntary cancellation by a Referee does not reverse Subscription Credit already earned. Future Subscription Credit stops accruing because future Referee payments stop. If a Referee initiates a chargeback or successfully obtains a refund by other means, the corresponding Subscription Credit is reversed.
  • Disclosure Obligations. When sharing a referral link, you must disclose your material connection to The ArthIQ Daily — namely, that you may receive Subscription Credit if the recipient signs up and becomes a paying subscriber. A brief, plain-language disclosure satisfies this in most personal-sharing contexts (for example: "I get Subscription Credit if you sign up via my link" or "Referral link — I may earn credit if you subscribe").

Public distribution of personal referral links is prohibited under clause (v) of the Eligibility and Prohibited Conduct section above. If ArthIQ permits you to engage in public distribution (for example, by enrolling you into the Affiliate Program under Section 7 and the Affiliate Agreement), your disclosure of compensation in all public promotional content must be clear and conspicuous in accordance with the Federal Trade Commission's Endorsement Guides — appearing in the same medium as the endorsement, in plain language, and not buried in descriptions, comments, or hashtag clouds. ArthIQ may invite or require any Referrer with a meaningful public following to enroll in the Affiliate Program before continuing public-channel sharing.

  • Audit, Suspension, and Voided Referrals. ArthIQ may audit Referral Program activity and may void referrals or suspend Referrer participation based on indications of fraud, abuse, or violation of these Terms. Affected Referrers will be notified with the reason and any remediation path available.

6. Complimentary Subscription Grants

From time to time, ArthIQ may issue Complimentary Subscription Grants — finite-period, no-cost subscriptions at any tier — to creators, partners, press, event attendees, lapsed members, or others at our discretion.

  • Nature of Grants. Complimentary Grants provide free access to the specified subscription tier for the specified duration, delivered at published list price (no discount applied to the underlying tier). Grants have no cash value, are non-transferable, and are non-refundable. Grants do not establish an obligation by ArthIQ to offer renewal or paid conversion.
  • Acceptance and Activation. Grants are typically delivered via single-use code or direct account provisioning. By accepting a Grant, you agree to these Terms and all incorporated documents. Standard Service terms apply during the Grant period.
  • End of Grant Period. At the end of the Grant period, your subscription will either (a) revert to your prior tier, if any; (b) continue as a free-tier account, if you had none; or (c) convert to paid as specified in the Grant notification at the time of issuance, in which case standard subscription terms apply and you may cancel before any conversion charge. Reasonable notice will be provided before any conversion to paid status.
  • No Referral Attribution. Grant recipients are not attributed to any Referrer. No Subscription Credit accrues to any third party from a Grant. Once a Grant recipient becomes a paying subscriber, the recipient may participate in the Referral Program on the same terms as any other subscriber.
  • Restrictions and Revocation. Grants may not be resold, transferred, or used for commercial redistribution. ArthIQ may revoke a Grant at any time for fraud, abuse, or violation of these Terms.

7. Affiliate Program Participation

The ArthIQ Daily operates an Affiliate Program offering cash compensation to enrolled creators, partners, and high-volume Referrers. Participation is opt-in and subject to the standalone Affiliate Agreement, which is incorporated by reference for all enrolled Affiliates.

  • Eligibility Paths. Affiliate enrollment is available to (a) Referrers who accumulate Subscription Credit at or above the published enrollment threshold (currently US$1,000); and (b) vetted creators, partners, and organizations enrolled directly by ArthIQ. Affiliates must be at least eighteen (18) years of age (or the higher age required by their jurisdiction) and must not be a sanctioned or restricted party.
  • Relationship. Affiliates are independent contractors of ArthIQ, not employees, agents, partners, or joint venturers. No Affiliate relationship is established until enrollment is complete, the Affiliate Agreement is accepted, and required tax forms (W-9 for U.S. persons; W-8-BEN or equivalent for non-U.S. persons) are collected through our payout provider.
  • Affiliates Need Not Be Subscribers. External creators, podcasters, writers, and other partners may enroll as Affiliates without being subscribers of The ArthIQ Daily themselves.
  • Compensation and Tax. Compensation structure, payout cadence, attribution rules, and clawback policies are specified in the Affiliate Agreement. Affiliate payments to U.S. Affiliates are reported on IRS Form 1099-NEC at the then-current threshold. Affiliates are responsible for their own tax filings and obligations.
  • Affiliate Payments Are Not Money Movement of User Funds. Cash payments to enrolled Affiliates are outbound contractor payments by ArthIQ, Inc., processed through a payments-platform provider. The Service does not accept user funds, hold user funds, or settle user-to-user transfers in connection with the Affiliate Program. The Affiliate Program does not alter The ArthIQ Daily's status as a non-MSB, non-money-transmitter as set out in the Important Disclosures.
  • Promotional Standards and FTC Compliance. Affiliates must comply with applicable law, including the Federal Trade Commission's Endorsement Guides. The Affiliate Agreement specifies required disclosure standards and content rules, including (without limitation): (i) clear and conspicuous disclosure of the affiliate relationship in all promotional content; (ii) prohibition on representing The ArthIQ Daily as providing investment, tax, legal, insurance, or other licensed-professional advice; (iii) prohibition on guaranteeing investment returns, tax savings, or other financial outcomes; and (iv) prohibition on fake testimonials, impersonation, or undisclosed paid endorsement.
  • No Advisory Relationship. Affiliate participation does not establish any investment-advisory, fiduciary, or licensed-professional relationship between the Affiliate and ArthIQ, or between any Affiliate and any user. Affiliates are promoters of an educational software product, not advisers.
  • International Affiliates. The Affiliate Program is open to qualifying participants outside the United States subject to Stripe Connect availability, applicable sanctions and export-control laws, and the standalone Affiliate Agreement. International Affiliates may be subject to U.S. withholding and reporting depending on their tax status, documentation, source-of-income rules (which generally turn on where services are performed), and applicable law. Stripe Connect handles applicable tax form collection and reporting.

8. Push Notifications and In-App Promotional Surfaces

The ArthIQ Daily uses in-app promotional surfaces and push notifications to communicate program activity, recognition events, and Service updates. These are house communications about The ArthIQ Daily's own programs and Service. We do not display third-party advertising and do not maintain ad inventory.

  • Push Notifications. Push notifications require your explicit operating-system-level consent at the device level. Push notifications are reserved for high-signal events, including milestone achievements, expiring Subscription Credit, leaderboard placements, and critical Service alerts. You may disable push notifications at any time through your device settings or in-app preferences.
  • In-App Promotional Surfaces. The ArthIQ Daily may display in-app cards, banners, and contextual prompts promoting our Referral Program, Affiliate Program, premium subscription tiers, Service features, and editorial content. These surfaces are subject to per-surface frequency caps; dismissal of a surface is remembered for a configured duration. New users receive an initial-session suppression period during which promotional surfaces are not displayed.
  • No Third-Party Advertising. The ArthIQ Daily does not show third-party advertisements, does not maintain ad inventory, and does not track users for behavioral advertising or share data with advertising networks.

9. Third-Party Integrations, AI Limits, and Data Loss

By linking external accounts or importing documents, you grant us permission to securely transmit your data to our integration partners.

  • Account-Linking Provider: You explicitly agree to the Plaid End User Privacy Policy. ArthIQ, Inc. is not liable for delayed, incomplete, or inaccurate data feeds, nor are we liable for any disruptions originating from Plaid's infrastructure.
  • Anthropic (Claude): AI summaries are subject to logical and categorization errors (hallucinations). You must independently verify all AI outputs.
  • Stripe Connect (Affiliates only): Enrolled Affiliates accept the Stripe Connect platform terms passed through at enrollment, and must maintain a Stripe Connect account in good standing as a condition of receiving Affiliate payments.
  • Not a Backup Vault: The ArthIQ Daily is a tracking tool, not a document retention service. You are solely responsible for maintaining localized backups of your statements. To the maximum extent permitted by applicable law, we are not liable for the loss or corruption of any imported data.

10. Acceptable Use, Intellectual Property, and Feedback

  • Prohibited Conduct: You agree not to: (i) reverse engineer the Service; (ii) scrape data or use automated tools to extract data; (iii) transmit documents containing unredacted Social Security Numbers or other unauthorized sensitive data; (iv) engage in self-referrals, household referrals, duplicate-account referrals, or other Referral Program abuse as defined in Section 5; (v) leak Complimentary Subscription Grant codes outside the intended recipient set; (vi) impersonate The ArthIQ Daily, its officers, or any affiliated party in promotional content; (vii) participate as an Affiliate in any market where you are legally prohibited from receiving compensation; (viii) attempt to circumvent attribution mechanisms, frequency caps, or eligibility checks; (ix) harvest user data through the Referral Program by submitting fraudulent referee accounts; or (x) use the Service to launder money or finance prohibited activities.
  • Intellectual Property & Feedback: ArthIQ, Inc. retains all rights to the Service. If you provide us with any feedback, ideas, or feature requests, you assign all rights to such feedback to ArthIQ, Inc. without compensation.

11. DISCLAIMER OF WARRANTIES (AS-IS)

"Released Parties" means ArthIQ, Inc., its affiliates, and each of their founders, officers, directors, employees, contractors, agents, service providers, licensors, successors, and assigns.

THE SERVICE (INCLUDING THE REFERRAL PROGRAM, COMPLIMENTARY GRANTS, AFFILIATE PROGRAM, LEADERBOARD, AND ALL RELATED FEATURES) IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASED PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, UNINTERRUPTED OPERATION, ERROR-FREE OPERATION, AND FREEDOM FROM DATA LOSS.

The Released Parties make no representations or warranties regarding Subscription Credit earning rates, Affiliate Commission earning potential, Referee conversion rates, attribution accuracy, leaderboard placement, or any other program-related outcome.

12. LIMITATION OF LIABILITY AND INDEMNIFICATION

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST EARNINGS, LOST AFFILIATE COMMISSIONS, OR ADVERSE TAX CONSEQUENCES.

THE TOTAL CUMULATIVE LIABILITY OF THE RELEASED PARTIES FOR ANY CLAIMS ARISING OUT OF THESE TERMS SHALL BE STRICTLY LIMITED TO THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) FIVE HUNDRED U.S. DOLLARS ($500.00). Affiliate liability limitations are additionally set out in the standalone Affiliate Agreement.

Non-Waivable Rights Carveout: Nothing in these Terms limits liability that cannot legally be limited under applicable law, including liability for fraud, willful misconduct, gross negligence, statutory breach-notification damages, applicable GLBA Safeguards obligations, or applicable biometric/medical privacy obligations.

Indemnification: You agree to indemnify, defend, and hold harmless the Released Parties from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your violation of these Terms, misuse of the Service, submission of prohibited data, violation of law (including FTC Endorsement Guide violations for any public promotional content you publish), or infringement/misappropriation of third-party rights.

13. Dispute Resolution, Arbitration, and Class Action Waiver

  • Governing Law: The laws of the State of Delaware govern these Terms.
  • Binding Arbitration: Any dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. ArthIQ will pay AAA filing, administrative, and arbitrator fees beyond the consumer contribution required by the AAA Rules.
  • Class Action Waiver: CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY.
  • Public Injunctive Relief (McGill Carve-out): Nothing in this arbitration agreement shall be construed to waive any non-waivable right to seek public injunctive relief in a court of competent jurisdiction.
  • Mass Arbitration: If 25 or more similar demands for arbitration are filed by or with the assistance of the same law firm or coordinated group, the AAA's Mass Arbitration Supplementary Rules shall apply, including bellwether proceeding protocols.
  • Exceptions & Opt-Out: You may opt out of arbitration by emailing legal@thearthiqdaily.com within 30 days of account creation. Either party may bring qualifying claims in small claims court.
  • Time Limitation: Claims must be filed within one (1) year after such claim arose.
  • Affiliate Disputes: Disputes arising under the standalone Affiliate Agreement are governed by the dispute resolution terms of this Section unless expressly modified in the Affiliate Agreement.

14. General Provisions

  • Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.
  • Survival: Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, privacy, accrued payment obligations, accrued Subscription Credit, and accrued Affiliate Commission survive termination.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
  • No Waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
  • No Third-Party Beneficiaries: Except for the Released Parties, who are intended beneficiaries of the disclaimers, limitations of liability, and indemnification provisions, these Terms do not create any third-party beneficiary rights.
  • Force Majeure: We are not liable for failure due to causes beyond our control, including acts of God or infrastructure outages.
  • Entire Agreement: These Terms, the Privacy Policy, Important Disclosures, Subprocessors list, Your Privacy Choices, Accessibility Statement, the Affiliate Agreement (where applicable to enrolled Affiliates), and the Leaderboard Official Rules (where applicable to active leaderboard cycles) constitute the entire agreement.
